Client Terms and Conditions
U2 Tuition Limited (U2) acts as agents on behalf of the tutor (Tutor) and will introduce the Tutor to the client (Client).
Any reference to ‘we’ or ‘us’ in this policy refers to the separate and distinct legal entities that make up U2 Tuition Ltd.
Fees and Payment
U2 looks after the billing process for all jobs. An invoice will be sent to the Client every two weeks, or at the beginning of a programme, dependent on the nature of tuition required.
Payments must be made to U2 within 7 days of the invoice.
The fees will be calculated at a rate agreed in advance between U2 and the Client. The tutor will log their hours through the TutorCruncher portal and invoices will be processed based on these hours, unless specified otherwise. The Parent may check these hours are correctly logged by accessing their TutorCruncher account and checking their invoices.
Payments must not be made directly to the Tutor at any time.
Any payment details that you supply will not be passed on to any third party.
Expenses
All expenses (including books and travel) must be agreed with the Tutor in advance.
Non–solicitation
The Client is not permitted to make private arrangements for tuition with a Tutor introduced by U2. Should a Client breach this obligation, they will be liable to account to U2 Tuition for all sums paid to the Tutor without deduction and U2 Tuition shall be entitled to obtain an injunction against the Client to prevent further breaches. This obligation shall continue notwithstanding termination of this agreement.
Liability
We have no liability in respect of any arrangement you may choose to enter at your discretion with a Tutor. Our liability to you under the Contract is limited to the fees that you pay to us in respect of those services, although we do not exclude or limit our liability for death or personal injury caused by our negligence, fraud or for any other liability that cannot be legally excluded or limited. We will not be liable for any failure to provide services where we are prevented from doing so by an event outside of our reasonable control.
Cancellation Policy
Both the Client and the Tutor must notify the other in advance of any holiday commitments they may have; and any changes to the tuition timetable necessary because of illness. An alternative date will be arranged.
If the Client wants to cancel a lesson, they must do so no less than 24 hours in advance.
Bookings cancelled by a Client less than 24 hours before a Lesson is due to commence may incur a charge. U2 Tuition leaves it to the Tutor's discretion whether to accept the cancellation request and not charge any Lesson Fee, or to charge the Client 50% of the Lesson Fee. Unless instructed otherwise by the Tutor, U2 Tuition will, as the Tutor’s agent, automatically charge 50% of the Lesson Fee and payment will be processed in accordance with these terms and conditions.
Lessons cancelled less than 12 hours in advance will be charged at their normal rate.
We ask that both Tutor and Client are reliable and keep cancellations to a minimum.
General
U2 Tuition reserves the right to alter these Terms and Conditions. U2 Tuition will, however, notify the client in writing of any changes.
Unless otherwise agreed in writing by a Director of U2 Tuition, these Terms and Conditions shall prevail over any other Terms of Business or Conditions put forward by the Client.
No variation or alteration of these Terms and Conditions shall be valid unless approved in writing by a Director of U2 Tuition.
Approval
Acceptance of our services will be taken to represent agreement to these Terms and Conditions.
Terms of Engagement for Tutors
This contract is between U2 Tuition and the Tutor.
The following arrangements are understood and agreed by both parties.
General
Once a tutoring position has been confirmed, you are entering into a contract between you (the tutor) and the Client (the student, or the student’s parent/guardian). U2 Tuition Limited (U2) acts as agent on behalf of the tutor and the student. U2 Tuition is only responsible for finding students and an appropriate teacher for the specific subject, and is not responsible for the content of lessons and the teaching methods.
The terms of contract entered into with the client shall be in the form provided unless otherwise agreed by U2 Tuition.
Private Arrangements
In consideration of U2 Tuition providing you with students, you are not permitted to make private arrangements for tuition with a Client introduced by U2 Tuition or with new clients introduced by a U2 Client. Should you breach this obligation, you will be liable to account to U2 for all sums received by you from the Client/new Client without deduction and U2 shall be entitled to obtain an injunction against you to prevent further breaches. This obligation shall continue notwithstanding termination of this Agreement.
Any work referred to a tutor by a Client of U2 must be billed through U2 on your behalf. U2 is happy to negotiate on commission for new clients referred to you by our clients but U2 must process the billing.
Profiles
U2 Tuition requires that your profiles are up to date, most importantly in terms of tuition experience. Any new references should be uploaded to TutorCruncher as they ensure validation of your profile and will increase the likelihood of your being chosen for a job.
Environment
You and the client are responsible for finding and agreeing on a suitable environment in which tuition can take place. Lessons can be carried out online or in the Client’s home.
Payment
U2 will agree the fee structure with the Client, on behalf of the tutor and this must not be changed without the written authority of U2.
As part of the service, U2 will endeavour to collect the fees due from Clients and pass them on to you, net of the agreed platform fee. U2 invoices clients on behalf of tutors, based on TutorCruncher timesheet entries.
Please ensure that you log the lesson on TutorCruncher as soon as possible after each class. If you are late completing these timesheets or there is incorrect information on them your payment may be delayed. Payments will only be made once the invoices have been sent out to the client.
You must keep your online timesheet up to date. U2 recommends that tutors keep a record of all lessons taught (or cancelled with less than 24hrs notice) and expenses agreed with Client (ideally signed, or with written confirmation by Client), as well as any text/ email correspondence regarding time and duration of lesson. We do not need to see this but if a Client disputes hours that are invoiced we will be unlikely to be able to pay tutors if this record is not available.
You will not be paid directly by the Client. U2 sends an invoice to the Client, on behalf of and as an agent for you (the tutor), every two weeks, to cover the previous two weeks tuition.
Our payment terms are currently two weeks on Fridays. You will not be entitled to receive your fee until U2 Tuition has invoiced the client.
You must not accept any payment direct from the Client without the written permission of a Director of U2. Should you do so, all sums received by you will be immediately payable to U2 and shall be actionable through the Courts without further notice to you.
You undertake to U2 that you will duly pay the tax and national insurance contributions which are due from you whether in the United Kingdom or elsewhere in relation to the payments to be made to you by U2 under this Agreement. You further agree to indemnify U2 in respect of all and any income tax and national insurance contributions which may be found due from U2 on any payments made to you under this agreement together with any interest, penalties or gross-up thereon.
For the purposes of record-keeping, you will account for the full fees due from the Client as income and the platform fee as expenditure.
It is understood that you are not VAT registered. You must inform us if this is not the case or if this changes.
Expenses
All expenses (books, travel, etc) must be agreed with the Client before you add them to your account. If you buy books, please keep receipts so you can return them to the shop if the Client does not want to buy them. Do not charge for travel in central London. Any expenses incurred by you without the agreement of the Client will not be reimbursed to you.

U2 Tuition recommends that you agree a 24-hour cancellation policy with the Client so that U2 Tuition can charge them if they cancel the lesson at short notice. U2 Tuition leaves it to the Tutor's discretion whether to accept the Client’s cancellation request (if less than 24-hours’ notice) and not charge any Lesson Fee, or to charge the Client 50% of the Lesson Fee. Unless instructed otherwise by the Tutor, U2 Tuition will, as the Tutor’s agent, automatically charge 50% of the Lesson Fee and payment will be processed in accordance with these terms and conditions. Lessons cancelled less than 12 hours in advance will be charged to the Client at their normal rate.
You need to have agreed this and the chargeable cancelled hours with the client before U2 Tuition will charge for them. The Tutor must notify U2 Tuition as soon as possible and within 24 hours of the time of the original lesson in case of a late cancellation to claim the charges.
Damages
U2 does not accept any liability for any claims by the Client arising out of or related to the carrying out of the tutoring by you and you agree to indemnify U2 without limit in respect of any such claims.
Confidentiality
You undertake that you shall not at any time during this agreement, and for a period of five years after termination of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of U2, except that you may disclose U2's confidential information as may be required by law, court order or any governmental or regulatory authority.
You shall not use U2's confidential information for any purpose other than to perform your obligations under this agreement.
Data Protection Act
U2 uses tutor data for the purposes of the services that it provides. Tutors providing personal data consent to the use of that data by U2 for the purpose of effecting introductions to Client, for billing and fee collecting purposes and to enable U2 to contact the tutor when needed.
U2 reserves the right to alter these Terms and Conditions. U2 will, however, notify you in writing of any changes.
Unless otherwise agreed in writing by a Director of U2, these Terms and Conditions shall prevail over any other Terms of Business or Conditions put forward by you.
No variation or alteration of these Terms and Conditions shall be valid unless approved in writing by a Director of U2.
